These terms govern all quotes, projects, and services provided by FPV Lens Ltd. By accepting a quote or commissioning work, you agree to the terms below.

1. About us
FPV Lens Ltd. ("FPV Lens", "we", "us") is a London-based creative studio providing drone and FPV content production, photography, website design, and search engine optimisation services across the United Kingdom. Contact: [email protected].
2. Quotes & acceptance
- All quotes are prepared individually and are valid for 30 days from the date of issue unless stated otherwise on the quote.
- A project is confirmed when the client returns a signed quote and pays any deposit stated on it.
- Quotes cover only the services itemised. Additional work requested after acceptance will be quoted separately or billed at our standard hourly rate.
3. Payment terms
- Unless the quote states otherwise, a 50% deposit is required to confirm a booking and begin work, with the balance due on completion.
- Smaller one-off engagements may be billed in full on delivery, as stated on the quote.
- Monthly retainers are billed at the start of each month, in advance.
- Payment is by bank transfer; details are provided on the invoice. Invoices are due within 7 days unless the invoice states otherwise.
- Overdue invoices accrue statutory interest plus fixed compensation under the Late Payment of Commercial Debts (Interest) Act 1998, and we may recover reasonable costs of collection.
- We may suspend ongoing work, retainer services, and websites we host or manage while any invoice is overdue, without liability for the consequences of suspension.
- No usage rights in any deliverable transfer to the client until payment for that deliverable has been received in full (see section 9).
4. Client responsibilities
- The client will provide accurate briefs, content, and approvals promptly. Timelines pause while we wait for client input, and quoted delivery dates extend accordingly.
- The client is responsible for securing access to premises and the cooperation of staff or occupants on shoot days.
- If a project stalls for more than 30 days because of missing client input, we may close the project and invoice for all work completed to date, including the full value of any completed shoots.
- The client must review deliverables promptly. Deliverables are deemed accepted 14 days after delivery if no written revision request is received.
5. Delivery & revisions
- Delivery timelines are stated on each quote and run from the final shoot or the signed brief, whichever applies. Timelines are estimates given in good faith, not guarantees.
- Files are delivered via Google Drive or WeTransfer. Clients are responsible for downloading and backing up deliverables; we retain project files for 90 days after delivery and accept no liability for files requested after that period.
- Unless the quote states otherwise, two rounds of revisions are included across all deliverables. Additional revisions, and changes outside the original brief, are billed at £75 per hour.
- A revision is a refinement of work delivered against the brief. A change to the brief itself is new work and will be quoted separately.
6. Drone & FPV operations
- All flights are conducted under our CAA operational authorisation, with public liability insurance to £5 million. Certificates are available on request.
- The pilot in command has final authority on whether any flight proceeds. We may pause or abandon a flight at any time on safety, legal, or airspace grounds without liability, and will reschedule the affected work at no charge.
- Drone operations are weather-dependent. If conditions are unsafe or unsuitable on the day, the shoot will be rescheduled at no charge to the earliest mutually available date.
- We handle all pre-flight planning, airspace checks, and regulatory filings. The client is responsible for securing access to private property and any landowner permissions for take-off and landing locations they control.
- If a shoot cannot proceed because of a failure on the client's side — no access, missing permissions, premises not ready — the shoot is chargeable in full and any reshoot is quoted separately.
7. Cancellation & rescheduling
- Shoots cancelled or rescheduled by the client with more than 48 hours' notice incur no charge beyond any non-recoverable costs already committed.
- Cancellations within 48 hours of a confirmed shoot incur a fee of 50% of the shoot value; cancellations on the day, or failure to provide access, incur 100%.
- Deposits are non-refundable, except where we cancel the engagement.
- If the client terminates a project after work has begun, all work completed to date is invoiced immediately and becomes payable, and the deposit is applied against it.
- Either party may terminate a monthly retainer with 30 days' written notice. Months already started are payable in full.
8. Travel & expenses
- Travel within Greater London is included unless the quote states otherwise.
- Travel outside Greater London is billed at £0.45 per mile unless included in the quote.
- Permits, location fees, and third-party costs are not included unless itemised on the quote.
9. Intellectual property, usage rights & portfolio
- On full payment, the client receives a non-exclusive licence to use the delivered content for their own business marketing across web, social, print, and advertising.
- Until payment is received in full, all deliverables remain our property and may not be used, published, or distributed. Any use before full payment is unlicensed and we may require its removal.
- FPV Lens retains copyright in all photography, video, designs, and code unless a full copyright transfer is agreed in writing on the quote.
- The licence does not permit resale, sublicensing, or transfer of the content to third parties (other than the client's own agencies acting for the client) without our written consent.
- We may display completed work in our portfolio, website, awards entries, and social channels. If a project is confidential, tell us in writing before the shoot and we will keep it private.
10. Client content & indemnity
- The client warrants that any materials they supply — logos, brand assets, images, copy, menus, music, product claims — are accurate and that they hold all rights needed for us to use them.
- The client is responsible for obtaining any consents required from people appearing in commissioned content at their premises or direction.
- The client indemnifies FPV Lens against claims, losses, and costs arising from client-supplied materials, client-approved content, or the client's use of deliverables outside the licence granted.
11. SEO, AEO & marketing services
- Search and answer-engine optimisation depends on third parties we do not control, including Google and AI platforms. We do not guarantee specific rankings, traffic levels, AI citations, or revenue outcomes.
- Case study results shown on our website are genuine but are not a promise of equivalent results for any other business.
- We are not responsible for ranking or visibility changes caused by search engine algorithm updates, platform policy changes, competitor activity, or changes the client or third parties make to the website.
12. Liability
- Our total aggregate liability arising out of any project, however arising, is limited to the fees paid for that project.
- We are not liable for indirect or consequential losses, including loss of profit, revenue, data, goodwill, or business interruption.
- We are not liable for failures of third-party services, including hosting providers, domain registrars, delivery platforms, social networks, and search engines.
- Nothing in these terms limits liability for death, personal injury caused by negligence, fraud, or anything else that cannot be limited by law.
13. Force majeure
We are not liable for delay or failure to perform caused by events beyond our reasonable control, including severe weather, airspace restrictions, illness, accidents, equipment failure despite reasonable maintenance, strikes, power or internet outages, and acts of authorities. Affected work will be rescheduled or, where that is impossible, fees for undelivered work will be refunded less costs already incurred.
14. Data protection
We process client contact details only to deliver our services and manage our business relationship, in line with UK GDPR. We do not sell or share client data with third parties for marketing.
15. General
- These terms, together with the signed quote, form the entire agreement and supersede prior discussions. If a quote and these terms conflict, the quote prevails.
- Variations are binding only when agreed in writing by both parties.
- If any clause is found unenforceable, the rest of these terms remain in force.
- A failure to enforce any right is not a waiver of it.
- The client may not assign the agreement without our written consent.
16. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.
